Terms and Conditions
Effective Date: January 28, 2026
Thank you for choosing Impart Inc. (“Impart,” “we,” “us,” or “our”). These Terms and Conditions (the “Terms”) govern your access to and use of Impart’s educational courseware platform and related services (collectively, the “Platform” or “Services”). By accessing or using our Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform. We may modify these Terms from time to time. You should check these Terms periodically for updates. The effective date at the top of this document indicates when these Terms were last revised. By continuing to use the Platform after we post changes, you agree to be bound by the revised Terms.
These Terms should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal information.
1. Definitions
The following terms have specific meanings when used in these Terms:
- “Platform” or “Services” means Impart’s web-based educational courseware platform, including all features, tools, content, and functionality offered through or on the platform.
- “User,” “you,” or “your” means any person who accesses or uses the Platform, including students, instructors, administrators, and institutional representatives.
- “Institution” means any educational organization, including schools, universities, colleges, or other academic entities that license the Platform for their students, faculty, or staff.
- “Instructor” means faculty members, educators, teaching assistants, or other authorized individuals who use the Platform to deliver courses, create assignments, grade student work, and manage educational content.
- “Student” means learners who are enrolled in courses that use the Platform, whether through institutional access or individual subscription.
- “Content” means all materials available through the Platform, including curricula, lectures, lessons, exercises, assignments, visualizations, code sandboxes, and other educational resources.
- “User Content” means any content, information, or materials that you submit, upload, or transmit through the Platform, including code submissions, assignment responses, forum posts, and communications.
- “Instructor Content” means custom materials, exercises, notes, assignments, or other educational content created by Instructors within the Platform.
- “Subscription” means paid access to the Platform and Services for a defined period of time, whether purchased by an Institution, Instructor, or Student.
- “Account” means your personal user profile and credentials for accessing the Platform, including your username, password, and associated data.
2. Account Registration and Eligibility
Age Requirements
You must be at least 18 years old to create an Account and use the Platform, unless you have the consent of a parent or legal guardian, or unless your Institution has obtained appropriate consent on your behalf. If you are under 18, you represent that you have obtained the required consent before using the Platform.
When Institutions provide access to Impart for students under 18, the Institution is responsible for obtaining appropriate parental or guardian consent as required by applicable laws, including the Children’s Online Privacy Protection Act (COPPA) in the United States.
Account Types
The Platform supports several types of Accounts:
- Institutional Accounts: Licenses purchased by educational organizations for their students, faculty, and staff.
- Instructor Accounts: Accounts for educators with enhanced privileges to create courses, manage students, create custom content, and access grading and analytics features.
- Student Accounts: Accounts for learners to access course content, submit assignments, and track their progress.
- Individual Accounts: Accounts purchased by individuals for personal learning use outside of an institutional setting.
Registration Requirements
When you register for an Account, you must provide accurate, current, and complete information. You agree to update your information promptly if it changes. You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your username and password. You must not share your Account credentials with anyone else or allow anyone else to access the Platform using your Account.
You are responsible for all activity that occurs under your Account. If you believe your Account has been compromised or accessed without authorization, you must immediately notify us at support@imparteducation.com.
We reserve the right to refuse registration, suspend, or terminate any Account at our sole discretion, including for violations of these Terms or for any other reason.
3. Subscription and Payment Terms
Subscription Models
Access to the Platform is primarily provided through Institutional Licenses, where educational organizations purchase access for their students, faculty, and staff. Individual users may also purchase personal Subscriptions for self-directed learning.
Subscription fees are charged based on the subscription period selected at the time of purchase. The amount of the fee and the duration of the Subscription are clearly displayed during the registration or purchase process.
Auto-Renewal
IMPORTANT: Unless you cancel before your Subscription period ends, your Subscription will automatically renew for successive periods of the same duration at the then-current subscription rate.
We will charge your payment method on file at the beginning of each renewal period. You authorize us to charge your payment method for the renewal fees unless you cancel your Subscription before the renewal date.
To cancel auto-renewal: You must cancel your Subscription through your Account settings at least 24 hours before your current Subscription period ends. If you cancel, you will retain access to the Platform through the end of your current paid Subscription period, but your Subscription will not renew.
We will send you a reminder notification before your Subscription renews. However, it is your responsibility to manage your Subscription and cancel auto-renewal if you do not wish to continue.
Payment Processing
Payments are processed through third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge all fees incurred through your Account. You are responsible for paying all fees and applicable taxes associated with your Subscription.
If your payment method fails or your Account is past due, we may suspend or terminate your access to the Platform until payment is received. We reserve the right to change our fees at any time, but price changes will not affect your current Subscription period.
Refund Policy
Subscription fees are generally non-refundable, except as described below.
Student Refunds:
- Students who drop a class during their Institution’s official add/drop period may request a refund.
- Students who do not make it off a waitlist for a course may request a refund.
- To request a refund, navigate to the “My Subscription” section in your Account and click the “Request a refund” button.
- Refund requests are typically reviewed within 48 business hours.
- Once approved, refunds may take 5–10 business days to appear in your payment account.
- Refunds may be prorated based on your usage of the Platform. If you have substantially completed coursework or accessed significant Content, you may not be eligible for a refund.
Institutional Refunds: Refund policies for Institutional Licenses are governed by separate written agreements between Impart and the Institution.
We reserve the right to deny refund requests if we determine that the request does not meet our refund criteria or if we detect abuse of our refund policy.
4. License Grant and Restrictions
License Grant
Subject to your compliance with these Terms and payment of applicable fees, Impart grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Content for educational purposes during your Subscription period.
For Students: You may use the Platform to access course materials, complete assignments, submit code and other work, and engage in learning activities for your personal educational use.
For Instructors: You may use the Platform to deliver courses, create and manage assignments, grade student work, create custom educational content, access learning analytics, and communicate with students enrolled in your courses.
For Institutions: You may provide access to the Platform to your enrolled students, faculty, and authorized staff in accordance with your institutional license agreement.
Restrictions and Prohibited Uses
You agree that you will NOT do any of the following while accessing or using the Platform:
- Copy, reproduce, or redistribute Content: Except as expressly permitted by the Platform’s features (such as downloading assignments for offline work), you may not copy, reproduce, republish, upload, post, transmit, or distribute any Content from the Platform.
- Post assignment solutions publicly: You may not post, share, or make publicly available solutions to assignments, exercises, labs, challenge activities, or any other assessments from the Platform on public websites, forums, or services (including but not limited to Chegg, Course Hero, Stack Overflow, GitHub public repositories, or similar platforms). Instructors may authorize posting of solutions for access solely by students in their courses, but such posting must be done securely (e.g., within a learning management system or password-protected course site).
- Post problem descriptions publicly: You may not post problem descriptions, assignment prompts, or exercise text to public sites or services that provide solutions to problems, unless limited to your class’s students and approved by your Instructor.
- Use for commercial purposes: The Platform is for educational use only. You may not use the Platform, Content, or Services for any commercial purpose without our express written permission.
- Reverse engineer or extract source code: You may not decompile, disassemble, reverse engineer, or attempt to derive the source code or underlying technologies of the Platform.
- Circumvent security measures: You may not bypass, disable, or interfere with security features, access controls, plagiarism detection tools, or any other protective mechanisms of the Platform.
- Scrape or use automated tools: You may not use any robot, spider, scraper, crawler, or other automated means to access the Platform, extract data, or monitor Platform activity without our express written permission.
- Share Account credentials: You may not share your username, password, or Account access with anyone else or allow others to use the Platform through your Account.
- Impersonate others: You may not impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Interfere with Platform operation: You may not interfere with, disrupt, or create an undue burden on the Platform or networks connected to the Platform.
Academic Integrity
You agree to use the Platform in accordance with principles of academic integrity. This means:
- You will complete all assignments and assessments independently unless collaboration is explicitly permitted by your Instructor.
- You will not engage in plagiarism, cheating, or other forms of academic dishonesty.
- You will not submit work that is not your own or that you did not create yourself.
- You understand that the Platform includes plagiarism detection tools that analyze your submissions and compare them to other submissions and external sources.
- You acknowledge that the Platform may record your coding sessions and activity for academic integrity purposes.
Violations of academic integrity may result in immediate termination of your Account, reporting to your Institution, and other consequences as determined by your Institution’s academic policies. We reserve the right to cooperate with Institutions in investigating suspected academic misconduct.
5. User Content and Instructor Content
Student Submissions and User Content
You retain ownership of all User Content that you submit, upload, or create through the Platform, including code submissions, assignment responses, forum posts, and other materials.
However, by submitting User Content to the Platform, you grant Impart a non-exclusive, worldwide, royalty-free license to:
- Store, process, and transmit your User Content to provide the Services.
- Run, execute, and test your code submissions in our sandboxed execution environment for grading and feedback purposes.
- Analyze your User Content using plagiarism detection tools and academic integrity systems.
- Share your User Content with your Instructors, teaching assistants, and Institution for educational, grading, and administrative purposes.
- Use aggregated, anonymized, or de-identified data derived from User Content for Platform improvement, research, and analytics purposes.
- Make backup copies of User Content for disaster recovery and business continuity.
You represent and warrant that you have all necessary rights to submit User Content and that your User Content does not violate any third party’s intellectual property rights, privacy rights, or other rights. You are solely responsible for your User Content and the consequences of submitting it.
Prohibited User Content: You may not submit User Content that:
- Contains malicious code, viruses, worms, trojan horses, or other harmful software.
- Attempts to compromise, exploit, or damage the Platform, our systems, or other users’ systems.
- Is illegal, fraudulent, defamatory, obscene, threatening, harassing, or abusive.
- Violates any applicable law, regulation, or third party’s rights.
- Contains unauthorized advertising or promotional content.
We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is inappropriate or harmful.
Instructor Custom Content
Instructors may create custom educational content within the Platform, including exercises, assignments, labs, notes, and other materials (“Instructor Content”). Instructors retain ownership of their Instructor Content.
By creating Instructor Content on the Platform, Instructors grant Impart a non-exclusive, worldwide, royalty-free license to:
- Host, store, and deliver Instructor Content to students enrolled in the Instructor’s courses.
- Process student submissions in response to Instructor Content (e.g., auto-grading custom exercises).
- Make backup copies of Instructor Content for disaster recovery.
- Display Instructor Content to authorized users within the Institution (if applicable).
Instructors may export, modify, or delete their Instructor Content through the Platform’s content management features. However, we may retain archived copies of Instructor Content for a limited time after deletion to support active student coursework and maintain academic records.
Instructors represent and warrant that their Instructor Content does not violate any third party’s intellectual property rights and that they have all necessary rights to share the content with their students through the Platform.
6. Intellectual Property Rights
Impart’s Intellectual Property
The Platform, Services, and all Content provided by Impart (excluding User Content and Instructor Content) are the property of Impart Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
This includes, but is not limited to:
- Pre-built curricula, lessons, lectures, and educational materials.
- Auto-grading systems, algorithms, and feedback mechanisms.
- Code execution environments and sandboxing technology.
- Plagiarism detection systems and academic integrity tools.
- Interactive visualizations, code sandboxes, and learning tools.
- Analytics, dashboards, and reporting features.
- Platform software, user interfaces, and underlying technology.
- Impart trademarks, logos, and branding.
All rights in the Platform and Impart Content are reserved. Except for the limited license granted in these Terms, no other rights are granted to you, and you may not use, reproduce, distribute, or create derivative works based on Impart’s intellectual property.
Trademarks
“Impart” and the Impart logo are trademarks of Impart Inc. You may not use these trademarks or any confusingly similar marks without our express written permission. Nothing in these Terms grants you any right to use Impart’s trademarks.
Third-Party Content
The Platform may include or reference content, libraries, tools, or services provided by third parties. Such third-party content may be subject to separate terms and conditions and intellectual property rights. We do not claim ownership of third-party content, and your use of such content may be subject to additional terms.
Copyright Infringement and DMCA
Impart respects the intellectual property rights of others and expects users to do the same. If you believe that your copyrighted work has been copied or used on the Platform in a way that constitutes copyright infringement, please notify our Designated Copyright Agent with the following information:
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
- A description of the copyrighted work that you claim has been infringed.
- A description of where the allegedly infringing material is located on the Platform (please provide specific URLs or locations).
- Your contact information, including address, telephone number, and email address.
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
- A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

7. Educational Data and Information Sharing
The Platform collects, processes, and shares educational data to provide our Services. For detailed information about how we collect, use, and protect your personal information, please see our Privacy Policy.
FERPA Compliance
In the United States, student education records may be protected by the Family Educational Rights and Privacy Act (FERPA). When Impart provides Services to educational Institutions, we may act as a “school official” with a legitimate educational interest in student records. In such cases:
- The Institution remains responsible for FERPA compliance.
- Impart processes student information under the Institution’s direction and in accordance with FERPA requirements.
- Impart will not disclose student education records except as directed by the Institution or as permitted by FERPA.
Information Shared with Instructors and Institutions
When you use the Platform as a Student, the following information may be shared with your Instructors and Institution:
- Your name, email address, and student identification number (if provided).
- Your course enrollment, assignment submissions, and grades.
- Your progress tracking, completion status, and time spent on activities.
- Your quiz and test results, including scores and answer details.
- Engagement analytics, including login frequency, content access, and participation.
- Results from plagiarism detection tools, including similarity scores and flagged submissions.
- Code playback recordings showing your coding process for academic integrity review.
- Forum posts, comments, and communications within the course.
This information sharing is necessary to provide educational services, enable Instructors to assess your work, track your progress, award credit, and comply with institutional policies and accreditation requirements.
Analytics and Monitoring
The Platform collects usage data, engagement metrics, and learning analytics to improve our Services, understand learning patterns, and help Instructors identify students who may need additional support. This includes tracking your interactions with course content, time on task, submission patterns, and performance trends.
8. Code Execution Environment and Platform Security
Sandboxed Code Execution
The Platform includes a code execution environment that allows you to write, run, and test code as part of your learning activities. All code is executed in a secure, sandboxed environment with the following characteristics:
- Isolation: Your code runs in an isolated container, separate from our production systems and other users’ code.
- Resource Limits: Code execution is subject to resource limits, including CPU time, memory usage, execution duration, and network access restrictions.
- Security Controls: The sandbox environment implements security controls to prevent unauthorized access, privilege escalation, and malicious activity.
You agree that you will NOT attempt to:
- Break out of the sandbox or bypass security restrictions.
- Access, modify, or interfere with the underlying infrastructure, operating system, or other users’ environments.
- Perform resource exhaustion attacks, such as fork bombs, infinite loops designed to consume resources, or excessive memory allocation.
- Scan networks, probe ports, or attempt to exploit vulnerabilities.
- Mine cryptocurrency or use Platform resources for purposes other than learning.
- Execute malicious code designed to harm the Platform or other systems.
Violations of these security rules may result in immediate Account termination and may be reported to appropriate authorities.
Code Playback and Session Recording
To support academic integrity and provide detailed feedback, the Platform may record your coding sessions, including:
- Keystroke sequences and code changes over time.
- Timestamps of edits and submissions.
- Code compilation attempts and error messages.
- Time spent on assignments and activity patterns.
These recordings may be accessed by your Instructors and Institution to review your work process, investigate suspected academic misconduct, and understand your learning progression. Code playback data is treated as educational data subject to our Privacy Policy and applicable privacy laws.
Plagiarism Detection
The Platform uses plagiarism detection technology similar to MOSS (Measure of Software Similarity) to analyze code submissions and identify potential similarities with:
- Other submissions within the same course.
- Submissions from previous course offerings.
- Code available on the internet and in public repositories.
- Known solution databases.
Plagiarism detection results, including similarity scores and matched code segments, are shared with Instructors to support academic integrity enforcement. However, you acknowledge that:
- Plagiarism detection tools are not perfect and may produce false positives.
- Similarity does not automatically prove plagiarism or academic misconduct.
- Instructors are responsible for reviewing plagiarism detection results and making final determinations about academic integrity violations.
Platform Availability and Uptime
While we strive to maintain high availability of the Platform, we do not guarantee 100% uptime or uninterrupted access. The Platform may be unavailable due to:
- Scheduled maintenance windows.
- Emergency maintenance or security updates.
- Infrastructure failures or service provider outages.
- Distributed denial-of-service attacks or other security incidents.
- Force majeure events beyond our reasonable control.
We will make reasonable efforts to notify you of scheduled maintenance in advance. However, you acknowledge that temporary unavailability may occur, and you should not rely on continuous access to the Platform for time-sensitive submissions. We recommend submitting assignments well before deadlines to account for potential technical issues.
9. Prohibited Uses and Conduct
In addition to the restrictions described elsewhere in these Terms, you agree that you will NOT use the Platform to:
- Violate academic integrity policies: Engage in cheating, plagiarism, unauthorized collaboration, or other forms of academic dishonesty.
- Share assignment solutions: Post, publish, or distribute solutions to assignments, exercises, labs, or assessments on public websites, forums, or services such as Chegg, Course Hero, Stack Overflow, GitHub public repositories, or similar platforms.
- Compromise security: Attempt to gain unauthorized access to the Platform, other users’ Accounts, or our systems and networks.
- Harass or threaten others: Engage in harassment, bullying, threats, hate speech, or abusive behavior toward other users.
- Impersonate others: Impersonate any person, entity, or Instructor, or falsely state or misrepresent your affiliation with any person or entity.
- Spam or solicit: Send unsolicited advertising, promotional materials, spam, or commercial solicitations through the Platform.
- Violate intellectual property rights: Infringe on copyrights, trademarks, trade secrets, or other intellectual property rights of Impart or third parties.
- Upload malicious code: Upload, transmit, or distribute viruses, malware, trojans, worms, ransomware, or other harmful or malicious code.
- Use automated tools: Use bots, scrapers, crawlers, or other automated means to access, monitor, or extract data from the Platform without our express written permission.
- Share credentials: Share your Account username, password, or access credentials with others or allow others to use your Account.
- Access others’ Accounts: Access or attempt to access other users’ Accounts, submissions, or private information without authorization.
- Circumvent access controls: Bypass, disable, or circumvent any access controls, payment mechanisms, or usage restrictions.
- Interfere with Platform operation: Interfere with or disrupt the Platform, servers, or networks, or violate any requirements, procedures, policies, or regulations of networks connected to the Platform.
- Violate laws: Violate any applicable local, state, national, or international law or regulation.
- Collect personal information: Collect or harvest personal information about other users without their consent.
Consequences of Prohibited Uses
Violations of these Terms may result in:
- Immediate suspension or termination of your Account without notice.
- Reporting of violations to your Institution and academic administrators.
- Referral to your Institution’s academic integrity office or disciplinary processes.
- Forfeiture of any fees paid (no refunds will be issued for Accounts terminated due to Terms violations).
- Legal action, including civil or criminal prosecution, where appropriate.
- Cooperation with law enforcement authorities in investigating illegal activity.
We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including removing content, suspending Accounts, and terminating access.
10. Disclaimers and Warranties
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPART DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY: We do not warrant that the Platform is suitable for any particular purpose or will meet your specific needs.
- FITNESS FOR A PARTICULAR PURPOSE: We do not guarantee that the Platform will achieve any particular educational outcome or result.
- NON-INFRINGEMENT: We do not warrant that your use of the Platform will not infringe third-party rights (though we take reasonable efforts to respect intellectual property).
- UNINTERRUPTED OR ERROR-FREE SERVICE: We do not guarantee that the Platform will be available at all times, will operate without interruption, or will be free from errors, bugs, or defects.
- ACCURACY OF CONTENT: While we strive to provide accurate educational Content, we do not warrant that all Content is accurate, complete, current, or free from errors.
- SECURITY: While we implement security measures, we cannot guarantee that the Platform is completely secure or that unauthorized access will never occur.
Auto-Grading Disclaimer
IMPORTANT: The Platform includes automated grading systems that assess code submissions, assignments, and quizzes. However:
- Automated grading may contain errors or inaccuracies. Auto-graders use algorithms and test cases that may not account for all valid solutions or edge cases.
- Instructors are responsible for final grade determination. Auto-grader results should be reviewed by Instructors, and Instructors have discretion to override or adjust grades.
- Students should report grading discrepancies. If you believe an auto-grader has incorrectly assessed your work, you should promptly notify your Instructor for manual review.
- No guarantee of grading accuracy. We do not guarantee that auto-grading will be accurate, fair, or consistent in all cases.
Impart is not responsible for any academic consequences resulting from auto-grading errors, Platform unavailability, or other technical issues. Your Institution and Instructors have final authority over grades and academic credit.
Educational Outcomes
WE DO NOT GUARANTEE ANY SPECIFIC LEARNING OUTCOMES, GRADES, TEST SCORES, COURSE COMPLETION, DEGREE ATTAINMENT, EMPLOYMENT, OR OTHER RESULTS FROM YOUR USE OF THE PLATFORM.
The Platform is an educational tool. Your success depends on your effort, engagement, prior knowledge, Instructor guidance, and many other factors beyond our control. We make no promises about what you will achieve by using the Platform.
Third-Party Services
The Platform may integrate with or link to third-party services, tools, websites, or content not owned or controlled by Impart. We do not endorse, warrant, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the third party’s terms and policies.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPART, ITS AFFILIATES, AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THESE TERMS.
This includes, but is not limited to, damages for:
- Lost profits, revenue, or business opportunities.
- Loss of data, User Content, or Instructor Content.
- Academic consequences, including failing grades, course withdrawals, academic probation, or degree delays.
- Reliance on Content, auto-grading results, plagiarism detection results, or other Platform features.
- Service interruptions, downtime, or unavailability of the Platform.
- Errors, bugs, or defects in the Platform.
- Unauthorized access to your Account or data.
- Actions or inactions of other users, Instructors, or Institutions.
- Third-party services or content.
IN NO EVENT SHALL IMPART’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO IMPART IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
For users accessing the Platform through an Institutional License without paying a Subscription fee directly to Impart, the limitation of liability shall be $50.00 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Impart, its affiliates, and its directors, officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Platform or Services.
- Your violation of these Terms.
- Your User Content or Instructor Content, including any claims that your content infringes or violates third-party intellectual property rights, privacy rights, or other rights.
- Your violation of any law, regulation, or third party’s rights.
- Academic misconduct, plagiarism, or cheating.
- Unauthorized access to the Platform or misuse of your Account.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You will not settle any claim without our prior written consent.
13. Termination
Termination by Impart
We reserve the right to suspend or terminate your Account and access to the Platform:
- Immediately and without notice for violations of these Terms, including academic misconduct, security violations, or prohibited uses.
- For non-payment of Subscription fees or failed payment methods.
- At any time, for any reason or no reason, for free or complimentary Accounts, with or without notice.
- If required by law or by order of a court or government authority.
We are not required to provide notice before terminating your Account, though we may do so at our discretion.
Termination by You
You may cancel your Subscription at any time by:
- Navigating to your Account settings and selecting the cancellation option.
- Contacting our support team at support@imparteducation.com.
To avoid being charged for the next Subscription period, you must cancel at least 24 hours before your current Subscription period ends. If you cancel, you will retain access to the Platform through the end of your current paid Subscription period, but your Subscription will not auto-renew.
Institutional users should contact their Institution’s administrator regarding cancellation, as Institutional Licenses are governed by separate agreements.
Effect of Termination
Upon termination of your Account:
- Your access to the Platform will be immediately revoked.
- Your User Content may be deleted after a grace period (typically 30 days), though we may retain certain data as required for legal, regulatory, or academic record-keeping purposes.
- Instructors will have a limited time (typically 60 days) to export their Instructor Content before it is archived or deleted.
- You will not be entitled to a refund of any prepaid Subscription fees, except as provided in our Refund Policy.
- Any sections of these Terms that by their nature should survive termination will survive, including: ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.
14. Governing Law and Dispute Resolution
Governing Law
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Jurisdiction and Venue
You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.
Informal Dispute Resolution
Before filing any legal action, you agree to first contact us at support@imparteducation.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve disputes amicably.
Small Claims Court
Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
If for any reason a claim proceeds in court rather than through arbitration, you waive any right to a jury trial. Some jurisdictions do not allow class action waivers, so this provision may not apply to you.
15. Accessibility
Impart is committed to making the Platform accessible to all users, including those with disabilities. We strive to comply with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards and applicable accessibility laws.

16. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:
- Posting a prominent notice on the Platform.
- Sending an email notification to the email address associated with your Account.
- Updating the “Effective Date” at the top of these Terms.
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and may cancel your Subscription as described in the Termination section.
We encourage you to review these Terms periodically to stay informed of any updates.
17. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Impart regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic) between you and Impart.
For Institutional users, a separate written license agreement may supplement these Terms. In the event of a conflict between these Terms and an institutional license agreement, the institutional agreement shall control with respect to the Institution’s use of the Platform.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ intent.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Impart.
Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, at any time with or without notice to you (for example, in connection with a merger, acquisition, or sale of assets).
Force Majeure
Impart shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. The Terms are solely for the benefit of you and Impart.
Interpretation
Section headings in these Terms are for convenience only and do not affect the interpretation of these Terms. The words “including,” “includes,” and “such as” are not limiting.
